These Terms & Conditions ("Terms") govern your access to and use of SerpY, a cloud-based ERP, invoicing, CRM, and automation platform available at https://www.serpy.in ("the Service"), developed, owned, and operated by Synx Automation Private Limited ("Synx", "we", "us", "our"), a company incorporated under the Companies Act, 2013.
By registering for, accessing, or using the Service — including any free trial — you ("User", "Subscriber", "you") confirm that you have read, understood, and agree to be legally bound by these Terms and all policies incorporated herein. If you do not agree, you must not use the Service.
These Terms are governed by the laws of India. The exclusive jurisdiction for disputes is the courts of Trivandrum, Kerala.
SerpY is a product owned and distributed exclusively by Synx Automation Private Limited. All intellectual property, data, and service obligations relating to SerpY vest solely in Synx Automation Private Limited.
The Service is designed exclusively for business use by manufacturing companies, fabrication units, engineering workshops, assembly operations, industrial suppliers, and job-work manufacturers operating in India and internationally.
To use the Service you must: (a) be at least 18 years of age; (b) have legal capacity to enter into binding contracts; (c) be using the Service for lawful business purposes; and (d) provide accurate business information during registration, including a valid GSTIN where applicable.
Access to the Service requires account registration. You agree to:
All new subscriptions include a 14-day free trial. No credit card is required to begin a free trial. At the end of the trial period, access to the Service will require a paid subscription. Data entered during the trial will be retained for 30 days after trial expiry.

All prices are exclusive of applicable taxes. Pricing is subject to change with 30 days' notice.
7.1 Billing Cycle: Subscriptions are billed on a monthly basis and renew automatically.
7.2 Refund Policy: No Refund Policy: All subscription payments are non-refundable. A monthly subscription constitutes a binding monthly contract. Synx Automation Private Limited does not issue refunds, credits, or prorated amounts for partial periods, unused features, or any other reason.
7.3 Payment Processing: Payments are processed by third-party gateways compliant with PCI DSS standards.
7.4 Failed Payments: If a recurring payment fails, we will attempt collection up to 3 times within 7 days. Failure results in service suspension.
The Service may be used solely for lawful business purposes. You must not facilitate illegal transactions, reverse engineer the platform, resell access without consent, or upload malicious code.
All job records, inventory data, and business information you input remains your property. We process Your Data solely to provide the Service to you and in accordance with our Privacy Policy.
SerpY provides tools to generate GST-compliant invoices. However, you are solely responsible for ensuring your GST registrations are current and HSN/SAC codes are correct. We recommend engaging a qualified chartered accountant.
All intellectual property in the Service is owned exclusively by Synx Automation Private Limited. Nothing in these Terms grants you ownership or rights to use our branding beyond accessing the Service.
The Service supports integrations with platforms like WhatsApp, SMTP, and Cloud storage. Use is subject to third-party terms. We are not liable for failures in third-party services.
We target high availability but do not warrant uninterrupted access. We reserve the right to modify features or scheduled maintenance at any time.
Synx shall not be liable for indirect, incidental, or consequential damages. Our aggregate liability is limited to fees paid in the 3 months preceding the claim.
You agree to indemnify Synx from claims arising from your breach of Terms, violation of law, or inaccurate data entry.
Either party may terminate at any time. Data is retained for 30 days post-termination. You are responsible for exporting data before cancellation.
These Terms are governed by Indian law. Disputes unresolved by negotiation shall be referred to arbitration in Trivandrum, Kerala.

This Data Security Policy ("Policy") describes the technical and organisational security measures implemented by Synx Automation Private Limited ("Synx") to protect all data processed through SerpY ("the Service") at https://www.serpy.in.
This Policy applies to all data stored, transmitted, or processed by Synx on behalf of subscribers and their teams, including job records, inventory data, invoices, customer information, procurement records, and user account data.
The Policy is aligned with the Information Technology Act, 2000, SPDI Rules, 2011, Digital Personal Data Protection Act, 2023, and ISO/IEC 27001 principles.

3.1 Cloud Infrastructure
SerpY is hosted on enterprise-grade cloud infrastructure (AWS, Google Cloud, or equivalent) providing:
3.2 Data Encryption
Application controls are maintained against the OWASP Top 10 framework, including protection against SQL injection, XSS, and CSRF. We use automated static analysis and dependency scanning on every release. Periodic third-party penetration tests are conducted.
We implement the Principle of Least Privilege. Multi-Factor Authentication (MFA) is required for all Synx administrative access to production systems. Production deployments require multi-person authorisation.
In the event of a breach, we will isolate affected systems, investigate within 24 hours, and notify affected subscribers within 72 hours where required by the DPDPA 2023 and IT Act.
All third-party vendors with access to subscriber data are engaged under contractual agreements requiring security standards equivalent to or higher than those described in this Policy.
All Synx employees receive data security training and undergo background verification. All company-managed devices are encrypted and subject to remote wipe capability.
Subscribers must maintain credential confidentiality, assign minimum necessary roles, and revoke access promptly when staff leave.
RTO: targeted within 4 hours. RPO: targeted at no more than 24 hours. Redundancy is maintained across multiple availability zones.
Aligned with IT Act 2000, DPDPA 2023, ISO/IEC 27001, and GST Act requirements.
This Policy is reviewed at minimum annually, or following any significant security incident or regulatory change.
